Power Platform Academy — Intensive Programme

§ 1 Scope and subject matter
(1) These Academy Terms apply to participation in the intensive programme “Automate Your Business — Enabler” (hereinafter “Academy” or “Programme”) of SMARTNETYX LTD (hereinafter “Provider”).
(2) The Programme is aimed exclusively at companies, self-employed individuals, and freelancers acting in the exercise of their commercial or independent professional activity (B2B). Booking requires the provision of a company name and a valid VAT identification number.
(3) The General Terms and Conditions (GTC) of SMARTNETYX LTD in their current version (Part A) apply in addition. In the event of contradictions, these Academy Terms take precedence.
§ 2 Scope of services
(1) The Programme includes:
- 4 weeks intensive programme with weekly live sessions (approx. 2 hours each)
- 4 individual 1:1 sessions with the Provider (approx. 30 minutes each)
- Access to the exclusive Microsoft Teams community (remains available beyond the programme)
- Digital materials: Flow-Turbo Template Library, Data-Clean Starter Kit, Doku-mit-AI Toolkit, Daily Business Hacks, Office Basics Toolkit
- 3 months of Office Hours after programme completion (monthly group call)
(2) The participant works on their own real-world use case from their company during the programme. The use case is submitted during the application process and reviewed by the Provider for feasibility.
(3) The maximum number of participants per cohort is 5.
(4) The Provider reserves the right to further develop the curriculum and tools used. The core of the programme (live sessions, 1:1 mentoring, own use case) remains unchanged.
§ 3 Application and contract conclusion
(1) Participation in the programme requires an application. The Provider reviews each submitted use case for feasibility and confirms participation in writing (email is sufficient).
(2) The contract is concluded upon the Provider’s confirmation of participation.
(3) The Provider reserves the right to reject applications without giving reasons, particularly if the submitted use case does not match the programme scope or the technical requirements cannot be met.
§ 4 Technical requirements
(1) The participant must ensure the following requirements are met before the programme starts:
- Microsoft 365 Business Standard licence (or higher) for their own organisation
- Access to the Power Platform (Power Apps, Power Automate) in their own environment
- SharePoint permissions to create lists and libraries
- Admin access or IT approval for creating flows and apps
(2) The technical requirements are reviewed together before the course starts using an onboarding checklist and confirmed in writing.
(3) If the participant cannot meet the technical requirements, the Provider is entitled to postpone the start or withdraw from the contract. In this case, payments already made will be refunded in full.
§ 5 Prices and payment
(1) The price for the programme is based on the current offer on the Provider’s website. All prices are net plus applicable VAT (where applicable). For intra-community B2B services within the EU, the reverse charge mechanism applies.
(2) Payment is made by bank transfer or credit card via the Provider’s payment service provider (currently Revolut).
(3) The following payment options are available: (a) One-time payment before the programme starts, (b) Payment in 2 instalments according to the conditions stated in the offer. The first instalment is due before the programme starts, the second instalment after 2 weeks.
(4) In the event of late payment, the Provider is entitled to block access to the programme materials and the community until full payment has been received.
§ 6 Video testimonial and discount
(1) The participant may receive a discount on the programme price if they provide an honest video testimonial about their experience after completing the programme. The amount of the discount is stated in the respective offer.
(2) The video testimonial is hosted by the Provider on Supabase and may be published on the Provider’s website, on social media, and in marketing materials.
(3) The participant grants the Provider an unlimited, non-exclusive, transferable right of use for the video testimonial. The participant may revoke publication at any time with 30 days’ written notice; the discount remains unaffected.
(4) If no video testimonial is provided, the regular programme price applies without discount.
§ 7 Money-back guarantee (“Automate It” guarantee)
(1) The Provider grants a money-back guarantee: If the participant does not have a functioning, automated business process in their company after 4 weeks, they receive 100 % of the amount paid back.
(2) The guarantee applies exclusively under the following cumulative conditions:
- Technical requirements met: The participant’s organisation has established the requirements set out in the onboarding checklist (Microsoft 365 licence, Power Platform access, SharePoint permissions, admin access or IT approval). The checklist is reviewed together before the course starts and confirmed in writing.
- Full participation: The participant has attended all 4 live sessions, used all 4 1:1 sessions, and watched all course videos of the main programme.
- Tasks completed: The participant has completed the weekly exercises and practical tasks and documented their progress in the Teams community.
- Proof: The participant can demonstrate that their automated flow does not work despite meeting all of the above conditions.
(3) The claim for a refund must be made in writing within 14 days of the end of the 4-week programme (email is sufficient). The refund is processed within 30 days of confirmed eligibility via the original payment method.
(4) The guarantee is a voluntary service of the Provider and not a statutory right of withdrawal. As this is a B2B service, there is no statutory right of withdrawal.
§ 8 Cancellation by the participant
(1) Cancellation is free of charge up to 14 days before the programme starts.
(2) For cancellations between 14 and 7 days before the programme starts, 50 % of the programme price is due as a cancellation fee.
(3) For cancellations less than 7 days before the programme starts or in the event of non-attendance, the full programme price is due.
(4) The participant may nominate a substitute participant, provided they meet the technical requirements and are accepted by the Provider.
§ 9 Cancellation or postponement by the Provider
(1) The Provider reserves the right to postpone or cancel a cohort, particularly if the minimum number of participants is not reached or for health reasons.
(2) In the event of cancellation by the Provider, payments already made will be refunded in full. Further claims are excluded.
§ 10 Missed sessions
(1) If a participant misses a live session, a recording will be provided. The 1:1 session will be rescheduled where possible.
(2) Missed sessions due to the participant’s circumstances do not entitle them to a price reduction or refund.
§ 11 Usage rights for materials
(1) The participant receives a non-exclusive, unlimited right of use for all provided digital materials (templates, toolkits, checklists, recordings) for use within their organisation.
(2) The distribution, resale, or publication of the materials to third parties is not permitted.
(3) The copyright in all materials remains with the Provider.
§ 12 Confidentiality in the community
(1) Content shared by other participants in the Teams community or in live sessions (use cases, business processes, company data) must be treated as confidential.
(2) A breach of this confidentiality obligation entitles the Provider to immediately exclude the participant without refund.
§ 13 Liability
(1) The Provider’s liability is governed by § 10 of the General Terms and Conditions (Part A).
(2) The Provider is not liable for the economic success of solutions created during the programme or for their suitability for a particular purpose beyond the guarantee conditions in § 7.
§ 14 Applicable law and jurisdiction
(1) The law of the Republic of Cyprus applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
(2) The place of jurisdiction is Paphos, Cyprus.
